These Terms of Service (“Terms”) govern your use of toccaycycling.com and purchases from TOCCAY SPORTS INTERNATIONAL LIMITED, a company registered in Hong Kong (“TOCCAY”, “we”, “us” or “our”). By using the website or placing an order, you agree to these Terms.
Important: Nothing in these Terms excludes or limits rights or remedies that cannot lawfully be excluded under the consumer laws that apply where you live.
1. Eligibility and account information
You must have legal capacity to enter into a contract in your location. Information supplied at checkout must be accurate and current. You are responsible for safeguarding any account credentials and for activity performed through your account.
2. Product information
We aim to present product descriptions, specifications, compatibility information, images and colours accurately. Screen displays, photography, manufacturing tolerances and product improvements may create reasonable differences. Check the product page and contact support@toccaycycling.com before ordering if compatibility or a specification is essential to your purchase.
3. Orders and contract formation
Your order is an offer to purchase. An automated acknowledgement does not necessarily mean the order has been accepted. A contract is formed when we accept the order by confirming fulfilment or shipment. We may reject or cancel an order before acceptance for reasons such as unavailable inventory, pricing or description errors, suspected fraud, sanctions or export restrictions, payment failure, or inability to deliver. If payment has been taken for a cancelled order, we will issue an appropriate refund.
4. Prices, payment, duties and taxes
Prices and available currencies are displayed on the website or at checkout. Payment is processed by Shopify and supported payment providers. Applicable import duties and taxes are included only for destinations covered by TOCCAY's duty-paid shipping service, as confirmed at checkout or before shipment. Customers outside current coverage will be informed of available options and any responsibility before shipment.
5. Shipping and delivery
Processing and delivery times are estimates unless expressly stated otherwise. Customs, carriers, weather, remote-area handling and events outside our reasonable control may cause delay. Risk and title transfer as required by applicable law and the agreed delivery terms. See our Shipping Policy.
6. Returns, refunds and warranty
Returns and exchanges are governed by our Return & Exchange Policy. Eligible manufacturing defects and accidental-damage support are governed by our Warranty & Crash Support. These policies supplement and do not replace mandatory statutory guarantees or remedies.
7. Safe and lawful product use
Cycling products must be selected, installed, inspected, maintained and used correctly. Follow published limits and instructions and use a qualified bicycle mechanic where appropriate. Do not use a product that appears damaged, improperly installed or incompatible. This section does not exclude liability that cannot lawfully be excluded.
8. Website licence and intellectual property
The website and its text, graphics, photographs, videos, logos, designs and software are owned by or licensed to TOCCAY and protected by applicable intellectual-property laws. We grant you a limited, revocable, non-transferable licence to use the website for personal shopping and product research. You may not copy, scrape, reverse engineer, republish, sell or commercially exploit website content without permission, except where applicable law permits.
9. Prohibited conduct
You may not use the website unlawfully; interfere with security or operation; introduce malicious code; attempt unauthorized access; impersonate another person; submit false or misleading information; infringe another party's rights; or use automated systems in a way that materially burdens the service.
10. Reviews and submitted content
If you submit a review, image or other content, you confirm that you have the right to submit it and that it is accurate and lawful. You grant TOCCAY a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt and display that content for operating, improving and promoting our business, subject to applicable privacy law. We may moderate or remove unlawful, abusive, misleading or irrelevant content.
11. Third-party services and links
The website may use or link to services provided by Shopify, payment providers, carriers, analytics providers, advertising platforms and other third parties. Their services may be governed by separate terms and privacy notices. A link does not by itself constitute endorsement.
12. Privacy
Our collection and handling of personal information are described in the Privacy Policy. Where required, you can manage non-essential cookies or opt out of certain advertising uses through the privacy choices made available on the website or by contacting us.
13. Service availability and changes
We may maintain, update, suspend or discontinue website features. We do not promise that access will always be uninterrupted or error-free. Material changes to these Terms apply prospectively from the stated effective date unless applicable law requires otherwise.
14. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, the website is provided on an “as available” basis. TOCCAY does not exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, breach of mandatory consumer guarantees, or any liability that cannot lawfully be limited.
Where limitation is permitted, TOCCAY will not be liable for indirect or consequential loss that was not reasonably foreseeable when the contract was made. For claims relating to a product order, TOCCAY's aggregate contractual liability will not exceed the amount paid for the affected order, except where applicable law requires a different remedy or limit.
15. Indemnity for unlawful misuse
To the extent permitted by law, you are responsible for reasonably foreseeable losses arising from your unlawful misuse of the website, infringement of third-party rights, or material breach of these Terms. This provision does not apply to losses caused by TOCCAY or limit mandatory consumer rights.
16. Events outside reasonable control
Neither party is responsible for delay or failure caused by events outside its reasonable control, subject to any non-excludable legal rights. We will take reasonable steps to reduce the impact and communicate material fulfilment delays.
17. Governing law and disputes
These Terms and non-contractual disputes are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws rules. The courts of Hong Kong have non-exclusive jurisdiction.
If you are a consumer, this choice does not deprive you of mandatory protections or access to courts or dispute mechanisms available under the laws of your habitual residence. Please contact support@toccaycycling.com first so we can try to resolve the issue directly.
18. Severability, waiver and assignment
If a provision is unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer your contractual rights without our consent, but this does not restrict statutory rights. We may transfer our rights and obligations as part of a business reorganization or sale, provided your rights are not reduced.
19. Entire agreement and language
These Terms and the policies linked from them form the agreement concerning website use and purchases, subject to information and rights that applicable law requires. If a translated version conflicts with the English version, the English version controls to the extent permitted by law.
